A lot of companies pick Nevada or Delaware to incorporate in, and then never even set up an office in the state. I don't know what Delaware's appeal is, but I do know that Nevada has no state tax on corporations. Virginia is a good corporation state as well. The reg fees and taxes are the lowest in the US.
